Terms of Service

1. What ShipShape is

ShipShape is a file naming tool for community association managers. You write down your naming convention, and ShipShape renames the files you give it to that convention. It does not store documents for the long term, and it does not provide legal, accounting, insurance, or other professional advice.

2. Your account

You must give accurate information and keep your sign-in safe. The account owner is responsible for who is invited to the team and for activity on the account. You must be authorized to bind the company or association you sign up for.

You sign in with a Longline Labs account, one sign-in for every Longline Labs app, provided by LONGLINE LABS LLC under its own Terms of Service and Privacy Policy at account.longlinelabs.com. These terms still govern your use of ShipShape.

3. Your files and their names

Files are kept only long enough to hand them back: 24 hours, or 7 days if you ask, then they are deleted. Keep your own copies; ShipShape is not a backup. You are responsible for checking the names it produces and for having the right to upload the files you give it. To the extent the law allows, we are not liable for a misnamed, misplaced or deleted file or its consequences.

4. Plans, billing, and cancellation

New accounts get a 30-day free trial with no card required. Paid plans are one price per company, with everyone on the team included, billed monthly or yearly, in advance. Adding or removing people does not change the price. Fees are non-refundable except where the law requires. You can cancel anytime; the plan runs to the end of the paid period. Payments are processed by Stripe.

5. When an account ends

If a trial ends without a plan or a plan ends, the account can no longer log renames or change its convention, and we keep the account's data for 30 days so you can download it or subscribe. We email the owner about 7 days before deletion. After that, the data is permanently deleted.

6. Acceptable use

Don't misuse the service: no attempts to access other customers' data, overload the service, or upload anything unlawful. We may suspend or close accounts that do.

7. Your data

You own your data and your files. We never read what's inside a file. We use your data only to provide the service, as described in the Privacy Policy. You can download it anytime from Settings.

8. Changes to the service and these terms

We may improve or change ShipShape over time. If we change these terms in a way that matters, we'll post the new terms here and tell the account owner at least 30 days before the change takes effect. Using ShipShape after that date means you accept the new terms. If you don't, you can cancel before then.

9. No warranties

ShipShape is provided "as is" and "as available." To the extent the law allows, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and we don't promise the service will be uninterrupted or error-free.

10. Limits on our liability

To the extent the law allows, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, fines, penalties, or late fees, even if we were told they were possible. Our total liability for any claim about ShipShape is limited to the amount you paid us in the 12 months before the claim.

11. Your responsibility to us

You agree to defend and hold LONGLINE LABS LLC harmless from claims by others arising from your use of ShipShape, the data you enter, or your breaking these terms.

12. Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in Florida.
